Terms & conditions

These terms cover the website at upsitestudio.com and the services Upsite Studio ("Upsite") provides to clients. By using the site or becoming a client, you agree to them. They're written to be read, so please read them.

The service

Upsite provides a website, hosting, a business phone number, automated text replies, a review funnel, marketing campaigns, a unified inbox, and access to the Upsite app, for a monthly fee. The exact features are listed on the pricing page at the time you sign up. We build the website from information you provide and from your public business listings.

Billing

• The plan is billed in advance, monthly, every three months, or yearly, from the day you sign up, by card.
• There's no setup fee and no minimum term. Cancel any time by text or email. Service continues to the end of the period you've paid for, and that period isn't refunded.
• If a payment fails, we'll let you know and retry. If it can't be collected within 14 days, we may pause the service until it is.
• Prices can change with 30 days' notice. Prepaid periods keep their price.

What you own, what we own

• Your domain name, your business content, your photos, your customer data and your reviews are yours.
• The website design, templates, automations and software are ours or our providers'. While you're a client, you have the right to use them. If you cancel, the site comes down at the end of your paid period, unless you buy it out (currently $1,000), in which case we hand you the website files to host anywhere. Automations, texting, the inbox and the app end with the subscription.
• You give us permission to use your business name, logo, photos and content to build and run your site, and to show your site as an example of our work unless you tell us not to.

Your responsibilities

• Give us accurate information, and have the right to use the content you give us.
• Only have us message people who have given your business their number and agreed to hear from you. Don't use the service to send spam or anything illegal.
• Keep your login details private and tell us if you think your account was accessed by someone else.

What we don't promise

We don't guarantee a number of leads, calls, reviews or customers, or any position in Google's results. We build the system; results depend on your market, your work and factors outside our control. Messaging depends on mobile carriers, who can delay or block messages. We'll do our part well and tell you honestly how it's going.

Liability

To the extent the law allows, Upsite's total liability for anything arising from the service is limited to the amount you paid us in the three months before the claim. We're not liable for lost profits or indirect damages.

Ending the agreement

You can cancel any time. We can end the service with 30 days' notice, or immediately if the service is used for spam, fraud or anything illegal, or if payment isn't made.

The rest
